6.0 ADDITIONAL INFORMATION: 6.1 Ownership of Documents: Any reports, studies, photographs, negatives, or other documents prepared by the Offeror in the performance of its obligations under this contract shall be the exclusive property of the Owner, and all such materials shall be remitted to the Owner by Offeror upon completion, termination or cancellation of the contract. Offeror shall not use, willingly allow, or cause to have such materials used for any purpose other than performance of Offeror’s obligations under this contract without the prior written consent of the Owner. 6.2 Insurance Requirements : By signing and submitting a bid under this solicitation, the Offeror certifies that it will have the insurance coverage specified on the Insurance Checklist at the time the work commences. The Contractor further certifies that they will maintain the specified coverage during the entire term of the contract and that all insurance coverage will be provided by insurance companies authorized to sell insurance in Virginia by the Virginia State Corporation Commission. During the period of the contract the Contractor shall furnish certificates of insurance for the coverage required with Fauquier County Public School Board endorsed as additional insured. 6.3 Unacceptable Performance: The Owner reserves the right to inspect all operations and to withhold payment for any products or services not performed or performed not in accordance with the specifications/contract documents. Payments withheld for unsatisfactory performance may be released upon receipt of satisfactory evidence that the work has been corrected to the Owner’s satisfaction. These corrections shall be at no cost to the Owner. The Contractor shall correct deficiencies within 24 hours of notice by telephone or in writing. Failure to do so shall be cause for withholding of payment for the service and may result in default action. 6.4 Contract Period: The initial period of this contract shall be three (3) years from the Date of Award. The Owner shall have the right to renew this contract for three (3) additional one (1) year terms under the same terms and conditions of the original contract except as noted herein. Procurement will send notice of renewal to the Contractor(s) within sixty (60) days of contract expiration. Please note that individual school decisions regarding their photographic service Contractor are only for one year at a time; schools may choose a different Contractor each year if it best meets their needs, under the resulting contracts. 6.5 Price Adjustments: Contractor(s) may submit price adjustments after the first one- year contract term and at each contract anniversary date; such adjustment requests must be submitted in writing at least sixty (60) days prior to the contract expiration date. Contractor(s) must furnish sufficient explanation and justification for the price adjustment requested and all adjustments are negotiable until fully acceptable to both parties. Any adjustment to the contract pricing will only be official after a mutually agreed-upon contract modification is executed by the Contractor and the Procurement Manager.
